Terms of Service

Effective July 8, 2026

1. Agreement

These Terms of Service (“Terms”) govern your use of TixParley (the “Service”), a marketplace where buyers and sellers of event tickets negotiate prices directly. By creating an account, listing tickets, making an offer, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What TixParley is (and isn't)

TixParley is a venue that connects ticket buyers and sellers and facilitates their transactions. Sales are agreements between the buyer and the seller; except where we expressly hold funds as described in Section 7, TixParley is not a party to the sale and does not own, price, or issue tickets.

TixParley is not affiliated with, endorsed by, or sponsored by Ticketmaster, Live Nation, AXS, or any venue, team, artist, or event organizer. Those names are trademarks of their respective owners and are used only to identify where tickets were issued and how they are delivered.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information, keep your credentials secure, and accept responsibility for activity under your account. Selling requires enrolling in two-factor authentication; sessions must be two-factor-verified to create listings.

4. Listings and seller obligations

By listing tickets, you represent and warrant that:

  • you own the tickets or are authorized by their owner to sell them, and you possess them at the time of listing (no speculative listings);
  • the tickets are transferable through Ticketmaster or AXS ticket transfer, and you have the right to transfer them to another person;
  • selling and transferring your tickets does not violate any law applicable to you, including state and local ticket-resale laws (some states require registration or licensing for high-volume resellers, and a small number restrict resale terms for certain events — compliance is your responsibility);
  • the listing accurately describes the tickets (event, section, row, seats, quantity), the same tickets are not simultaneously listed or sold elsewhere, and the tickets are not counterfeit, revoked, reported lost or stolen, or encumbered in any way;
  • the verification screenshot you upload is genuine and unaltered.

Delivery on TixParley happens exclusively through the official Ticketmaster or AXS transfer feature. Tickets that cannot be transferred through those platforms cannot be sold here. Never post ticket barcodes or QR codes anywhere on the Service.

5. Offers, counters, and deals

Making an offer is a commitment to buy at that price if the seller accepts before the offer expires. A seller's counter-offer works the same way in reverse. When an offer or counter is accepted — or a follower deal is claimed — a binding purchase agreement is formed between buyer and seller at the agreed price, and the listing is removed from sale. Withdraw open offers before they are accepted if you change your mind; repeated failure to honor accepted offers may result in suspension.

6. Fees

TixParley charges sellers a platform fee of 7% of the final sale price, deducted from the seller's proceeds. Fees in effect at the time a sale is formed apply to that sale. Payment-processing and payout mechanics are described at checkout. You are responsible for any taxes on your sales, and where required by law we or our payment processor may report seller proceeds (for example on IRS Form 1099-K).

7. Payment, delivery, and confirmation

When checkout is completed for a sale, the buyer's payment is held and not released to the seller until delivery is confirmed. The seller must initiate the Ticketmaster or AXS transfer to the buyer promptly after the sale (and in all cases early enough for the buyer to accept it before the event). The buyer must accept the transfer and confirm receipt on TixParley. Seller payouts occur after buyer confirmation or after the dispute-free confirmation window elapses. If a seller fails to deliver, the sale is cancelled, the buyer is refunded in full, and the seller may be suspended and held responsible for costs caused by the failure.

8. Cancelled and postponed events

If an event is cancelled without rescheduling, completed sales for it are refunded to the buyer and the tickets are returned (transferred back) to the seller where applicable. If an event is postponed or rescheduled, tickets remain valid for the new date and sales stand.

9. Prohibited conduct

  • listing tickets you do not possess, double-selling, or selling invalid, revoked, or counterfeit tickets;
  • using bots or automated means to acquire tickets (see the federal BOTS Act), scrape the Service, or manipulate offers;
  • circumventing the Service — arranging payment or delivery outside TixParley for a sale initiated here;
  • misrepresenting your identity, uploading falsified verification materials, or evading suspension with new accounts;
  • abusing follower deals or notifications to spam users, or engaging in harassment or unlawful conduct toward other users.

10. Enforcement

We may remove listings, cancel offers or sales, withhold or reverse payouts connected to suspected fraud, limit account features, or suspend or terminate accounts, at our discretion, to protect the integrity of the marketplace. Where lawful and practical we will tell you what happened and why.

11. Third-party platforms

Your Ticketmaster and AXS accounts are governed by their own terms. TixParley does not control those platforms and is not responsible for their availability, transfer features, or decisions they make about your account or tickets. You are responsible for maintaining the account access needed to deliver tickets you sell.

12. Disclaimers and limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. To the maximum extent permitted by law, TixParley's total liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid to TixParley in the twelve months before the claim arose and (b) one hundred U.S. dollars. TixParley is not liable for indirect, incidental, special, consequential, or punitive damages, including missed events, travel costs, or lost profits.

13. Indemnification

You will indemnify and hold harmless TixParley and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your listings, sales, purchases, violation of these Terms, or violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at frontrow@tixparley.com and give us 30 days to work with you to resolve the dispute informally.

15. Changes and contact

We may update these Terms as the Service evolves. Material changes will be announced on the Service, and the effective date above will be updated; continued use after changes take effect constitutes acceptance. Questions: frontrow@tixparley.com.
